Terms and Conditions of Use

1. Identification of the provider

This document governs access to and use of the FromChats platform, accessible at https://fromchats.com and through the mobile apps that FromChats may make available. The site is operated by Carmelo Jesús Chery Martino, a natural person, identified with Cédula de Identidad Personal No. 8-878-783, holding Operating Notice No. 8-878-783-2026-574428213 issued by the Ministry of Commerce and Industry of the Republic of Panama, with registered business address at Distrito de La Chorrera, provincia de Panamá Oeste, República de Panamá.

2. Purpose and nature of the service

FromChats operates a single messaging channel (WhatsApp, Instagram and Telegram) attended by an automated assistant powered by artificial intelligence. Through that channel, the end client browses the offerings of affiliated businesses and books, reschedules or cancels appointments. Affiliated businesses manage those bookings from a single panel, can create and modify them manually, and may optionally receive payments from their clients through payment links generated on the platform.

The assistant responds automatically and without human intervention. When the end client asks to speak with a person, the assistant provides the affiliated business's direct contact. From that point on, service is the responsibility of the business, and FromChats does not guarantee its availability or response time.

3. Definitions

• Platform: the FromChats website and management panel, as well as any mobile apps made available in the future.
• Affiliated business: the natural or legal person that registers its business on the platform to manage bookings and, where applicable, receive payments.
• Assistant: the automated, artificial-intelligence-based system that handles the conversations on the FromChats messaging channel.
• End client: the person who books or purchases a product or service from an affiliated business through the platform.
• Payment processor: the authorized payment service provider that materially executes charges, refunds and settlements.

4. Registration and account

• To use the platform as an affiliated business, you must register and provide truthful, accurate and up-to-date information.
• The account holder must be over 18 years of age and have the legal capacity to contract.
• Access credentials are personal and non-transferable. The holder is responsible for all activity carried out from their account.
• You must notify us immediately of any unauthorized use of your account.
• We may require documentation evidencing the identity of the holder and the legal existence of the business, in particular to enable online charges.

5. Obligations of the affiliated business

By affiliating, the business undertakes to:

• Offer only lawful products and services, and hold the permits, licenses and registrations that its activity requires.
• Publish truthful and complete prices, including applicable taxes.
• Actually provide the booked and paid service, under the conditions offered.
• Handle its end clients' complaints and resolve any refunds that may apply.
• Comply with its tax, labor and data-protection obligations.
• Not use the platform to process transactions unrelated to its declared commercial activity.

6. Prohibited activities

Using the platform for the following is expressly prohibited:

• Trading in unlawful, counterfeit or stolen goods or services.
• Controlled substances, weapons, ammunition or explosives.
• Sexual services, sexually explicit material or content involving minors.
• Gambling and betting not authorized by the competent authority.
• Pyramid schemes, financial multi-level marketing or promises of guaranteed returns.
• Crypto-assets, currency exchanges or unauthorized financial services.
• Money laundering, terrorist financing or any transaction involving funds of unlawful origin.
• Processing payments on behalf of third parties not registered on the platform.
• Sending unsolicited bulk messages or impersonation.
• Breaching, probing or overloading the infrastructure of the platform or its providers.

A breach of this clause entitles FromChats to suspend or cancel the account immediately, withhold funds pending settlement for the duration of the investigation, and report the facts to the authorities and to the payment service providers.

7. Payments, fees and settlement

• End clients' payments are processed through an authorized payment processor. FromChats does not hold funds on its own account beyond the time necessary for their settlement.
• FromChats retains a fee on each processed transaction, disclosed to the business before charges are enabled. The current terms are published on the pricing page.
• The remaining amount is transferred to the bank account registered by the affiliated business, within the processor's settlement times.
• The affiliated business is responsible for the accuracy of the bank details it registers. FromChats is not liable for failed transfers due to incorrect details.
• We may temporarily withhold a settlement where there are reasonable indications of fraud, an abnormal volume of disputes, or a request from the processor or an authority.

8. Refunds and cancellations

Refund and cancellation terms are detailed in the Refunds and Cancellations Policy, which forms an integral part of these Terms.

9. Service availability

We aim to keep the platform available continuously, but we do not guarantee uninterrupted availability. We may carry out maintenance, update or improvement tasks that involve temporary interruptions, giving notice in advance where reasonably possible.

The service depends on third-party platforms (including Meta's WhatsApp Business API). Any changes, restrictions or suspensions imposed by such third parties may affect the operation of the platform, without this giving rise to liability for FromChats.

10. Limitation of liability

• FromChats is not liable for the quality, suitability, legality or delivery of the products or services offered by affiliated businesses.
• FromChats is not liable for damages arising from misuse of the account by the holder or by third parties to whom the holder has provided their credentials.
• Except in cases of willful misconduct or gross negligence, and to the extent permitted by Panamanian law, FromChats's total liability to an affiliated business is limited to the amount of the fees actually received from that business during the three months preceding the event giving rise to the claim.
• Nothing in this clause limits the rights that consumer-protection legislation grants mandatorily to the end client.

11. Intellectual property

The software, design, trademarks, logos and other elements of the platform are owned by FromChats or its licensors. Affiliation grants the business a limited, non-exclusive, revocable and non-transferable license of use, limited to the purpose of the service.

Content uploaded by the affiliated business remains its property. You grant us a limited license to host and display it to the extent necessary to provide the service.

12. Data protection

The processing of personal data is governed by our Privacy Policy and by Law 81 of 26 March 2019 of the Republic of Panama.

With respect to the data of its own clients, the affiliated business acts as data controller and FromChats as data processor. The business warrants that it has a legitimate basis for processing such data and for entering it into the platform.

13. Term and termination

• The relationship is of indefinite duration and with no minimum commitment.
• The affiliated business may unsubscribe at any time from the panel or by requesting it by email.
• FromChats may suspend or cancel an account for breach of these Terms, upon prior notice, except in cases of fraud, unlawful activity or an authority's request, in which case suspension may be immediate.
• After unsubscribing, we will keep transaction records for the legally required periods and settle any outstanding funds that may apply.

14. Amendments

We may amend these Terms. Substantial changes will be communicated to the registered email and published on this page at least 30 days before they take effect. Continued use of the service after that period implies acceptance. If you do not agree, you may unsubscribe at no cost.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Panama. For any dispute, the parties submit to the competent courts of the Republic of Panama, without prejudice to the venue that consumer-protection legislation mandatorily grants to the end client.
